In the United Kingdom, it is a requirement of company law that information on a companies directors and shareholders must be publicly registered at Companies House. (Name, address, occupation, and date of appointment are required, as stated in The Companies Act 2014).

There are many legitimate reasons some company owners wish to remain anonymous & do not want their name or personal information to appear on the Companies Registry.

Our nominee director services ensure the company owner retains complete control, but the nominee directors name is filed with the Companies Registry. This provides anonymity for the companies beneficial owner, allowing anonymous company ownership. Anyone performing a company search will see the nominee directors name on the company records and not the owners.

The idea of a nominee director may seem full of difficulties and can, in some instances be used incorrectly. Indeed, such arrangements have often been put in place without realising the implications involved, either to the nominee in question, or the appointing company.

It is, however, extremely common to appoint nominee directors which are perfectly legal and safe, providing you are cautious. It is important to choose the right provider for your director services and ensure the right agreement for appointment of your nominee director.

A:The term ‘nominee director’ usually denotes someone who is named on the public register yet has no authority as such. Their only function is to provide anonymity to the beneficial owner & sign things when instructed, on your behalf.

A:There are two main reasons why you may need a nominee director for your UK company.

  • You do not want your name to appear in the public register. All registered companies in the UK are listed on the official register maintained by Companies House, along with the names and details of their directors. This means that anyone can access this information online and find out who is behind your company. If you want to keep your identity confidential for personal or business reasons, you can appoint a nominee director to act as the face of your company, while you remain the sole beneficiary owner who has full control over the business.
  • To minimise your tax liability as a non-UK resident. If you are a foreign investor or an overseas business owner who wants to open a company in the UK, you may be concerned about the tax implications of having your name on the public register. Depending on your country of residence and the nature of your business, you may be subject to double taxation or other tax liabilities. By using a nominee director who is a UK resident, you can minimise your tax liabilities.
